Lodestar

Terms of service

Version 2026-10-16.4. In effect from 16 October 2026.

These terms are the agreement between us and the organisation that signs up for Lodestar. The person who accepts them does so on behalf of that organisation and confirms they have the authority to do so.

1. Who we are

Lodestar is run by Panoptic Technology Limited, trading as Panoptic IT Solutions, a company registered in Ireland with number 596017. Our registered office is at Unit 7, Office Block C, Newpark Shopping Centre, Kilkenny, R95 EYX7. In these terms, "we" and "us" mean that company.

You can reach us at [email protected].

2. Words we use

  • You or the customer: the organisation that signs up.
  • Lodestar: the Lodestar console (the website) and the Lodestar agents (the software installed on computers).
  • Client: a group of devices you organise in the console. For an MSP or IT provider, usually one of its own customers. For a business watching its own devices, an office or team.
  • Device: a computer with a Lodestar agent enrolled in your console.
  • Active device: a device that is not retired and has sent at least one report during the billing period.
  • Device data: what the agents send about your devices. The privacy notice lists it in full.
  • Admin: a person in your organisation with the admin role in the console.

3. The service

Lodestar finds the AI tools installed and in use on your devices. An agent on each device looks for AI apps, browser and editor extensions, command-line tools, local AI models and AI service connections, and reports what it finds to the console. You see the results, set a policy for each tool and track changes over time.

Lodestar observes and reports. It does not block tools or connections, and it does not run scripts on your devices. The only things the console can ask an agent to do are to send a report now and to uninstall itself.

Lodestar recognises tools from its catalogue and from patterns in their names. It will not find every AI tool, and a finding is not a judgement that a tool is safe or unsafe. Decisions about what your organisation allows remain yours.

We improve Lodestar over time. If a change would materially reduce what it does for you, we will tell you before it takes effect.

4. Your account and organisation

When you sign up, we create an account for your organisation with our sign-in provider, which the privacy notice names. The person who signs up becomes its first admin. Admins decide who else can use your console.

You are responsible for:

  • who you let into your console, and what they do there
  • keeping sign-in details secure
  • keeping enrolment tokens confidential, and revoking any token that may have been exposed

Panoptic support can see or change your console only when an admin grants access from Settings. Each grant lasts 24 hours or 7 days, an admin can end it at any time, and everything support does is recorded in your audit log.

5. Your responsibilities

Lodestar monitors devices that people use for work. Before you install agents, you must:

  • make sure your use of Lodestar is lawful, including under data protection and employment law
  • tell the people who use those devices that Lodestar is installed, what it collects and why
  • install agents only on devices that you, or a client you act for, own or are entitled to manage

You decide whether to switch on the collection of signed-in account plans. It is off until an admin switches it on.

If you are an MSP or IT provider installing Lodestar for your own customers, you also confirm that:

  • each of those customers has authorised you to install Lodestar on its devices and to have us process the device data
  • your agreement with each of them allows you to use us as a sub-processor
  • you will pass on to them the information in our privacy notice that applies to them

6. Free trial

  • The free trial lasts 30 days from when your organisation is created, and covers up to 50 devices.
  • You need to give a payment method to start the trial: a card, or a bank account for SEPA Direct Debit.
  • When the trial ends, your subscription starts and your payment method is charged automatically, unless you cancel before the trial ends.
  • Stripe, our payment provider, emails you a reminder 7 days before the trial ends.
  • If you cancel during the trial, you pay nothing.

7. Fees and payment

You pay per active device per month, at the prices shown on the Billing page of your console when you subscribe. A minimum monthly charge applies, also shown there. If you are an MSP, up to 25 devices in the client you mark as your own organisation are free.

  • Monthly plans are billed monthly in arrears, for the active devices in the month just ended.
  • Yearly plans are paid in advance for the number of devices you commit to. If you have more active devices than you committed to, the Billing page tells you, and an admin raises the number there. An increase is invoiced at once, pro rata for the rest of the year. A decrease takes effect at renewal.
  • Prices are in euro and exclude VAT. We add VAT where it applies. If you give a valid VAT number, the reverse charge may apply instead.
  • Stripe processes all payments and sends your invoices. We never see or store your full card number or bank account details.
  • We will tell you at least 30 days before a price change applies to you.

8. Failed payments

  • If a payment fails, Stripe tries again, and your console shows a banner.
  • After 3 failed attempts in a row, your console opens only on the Billing page until the payment goes through.
  • While your console is locked, your agents keep reporting and we keep your data. Nothing is lost.
  • Once the payment succeeds, the whole console opens again.
  • If a payment is still outstanding after 30 days, we may end your subscription under section 14.

9. Cancelling

An admin can cancel at any time from the Billing page, which opens Stripe's customer portal. Cancelling takes effect at the end of the current billing period, and you keep full use of Lodestar until then. On a monthly plan, the last invoice covers the active devices in that final period. Fees already paid are not refunded, except where the law requires.

What happens to your data after that is set out in the privacy notice.

10. Data protection

For the details of the people who use your console and for billing, we are the controller. The privacy notice explains how we handle that data.

For device data, you are the controller and we are your processor. If you are an MSP acting for a customer, your customer is the controller, you are its processor and we are your sub-processor. Either way, we process device data only to provide Lodestar to you and on your instructions.

Our data processing agreement (DPA) sets out these commitments in full. Ask us at [email protected] and we will send it to you to sign. The sub-processors we use are listed in the privacy notice. We will tell you at least 30 days before we add or replace one, so you can object.

11. Acceptable use

You must not:

  • use Lodestar to monitor people covertly, or in any way the law does not allow
  • install agents on devices you have no right to manage
  • try to reach another customer's data
  • probe, overload or attack Lodestar, except for security testing we have agreed in writing
  • send false reports to the console, or interfere with how agents work
  • create organisations or enrolment tokens in bulk to get round the trial or our usage limits
  • copy, reverse engineer or resell Lodestar, except as the law allows

If you are an MSP, you may share what Lodestar finds with the customers whose devices it covers.

12. Availability and support

We work to keep Lodestar available, but we do not promise it will be uninterrupted or free of faults. There is no service level agreement unless we have agreed one with you in writing. Where we can, we will tell you about planned maintenance in advance.

For help, contact [email protected].

13. Ownership

We own Lodestar, including the agents and the catalogue of AI tools. While your subscription is active, you may use them for your organisation and, if you are an MSP, for your customers. You own your data, and we use it only as these terms and the privacy notice describe.

14. Suspension and termination

We may suspend your access, in whole or in part, if:

  • you break section 11 (acceptable use)
  • your account puts the security of Lodestar or other customers at risk
  • the law requires us to

We will tell you why, unless the law prevents us, and restore access once the cause is fixed.

You can end the agreement by cancelling (section 9). We can end it by giving you 90 days' notice. Either of us can end it at once if the other materially breaches these terms and does not put it right within 30 days of being asked to.

When the agreement ends, your access to the console ends. Before then, you can ask each agent to uninstall itself from the console. We handle your data as the privacy notice describes.

15. Liability

Nothing in these terms limits liability that the law does not allow to be limited, such as for death or personal injury caused by negligence, or for fraud.

Subject to that:

  • we are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or business opportunity
  • our total liability to you in any 12 months is limited to the fees you paid us for Lodestar in the 12 months before the event that gave rise to the claim

16. Changes to these terms

We may update these terms. Each version has its own version number and date at the top of this page, and we record which version your organisation accepted.

If a change is material, we will tell your admins at least 30 days before it takes effect. If you do not agree, you can cancel before then. If you keep using Lodestar after the change takes effect, the new terms apply.

17. Governing law

Irish law governs these terms. The courts of Ireland have exclusive jurisdiction over any dispute about them.
